Influencer Contract

- Influencer ("You")
- Current Noodles ("Company")
- A PIXEL HOUSE ("We" / "Agency")
This Agreement outlines the terms and conditions governing the collaboration between the parties mentioned above. By proceeding with this collaboration, you agree to abide by these terms and conditions.
Payment Terms
Initial Payment
Fifty percent (50%) of the payment will be remitted after the collaboration content is shared with the Agency and terms/conditions agreed by the Influencer.
Final Payment
The remaining fifty percent (50%) will be paid after the Influencer posts the agreed deliverables (reel or static) on their social media channels and verified by the 'Company' and/or 'Agency'.
Collaboration Process
Exclusive Sharing
Influencers shall not share any collaboration materials (posts, stories, raw images, unedited videos, etc.) with third parties other than the Agency. All deliverables must receive approval from the Agency prior to public release on the dates communicated.
Content Rights
The Company and the Agency retains all rights to the content produced during the collaboration.
Visibility Restrictions
While creating content, no other brands or labels should be visible except for those sponsoring the collaboration. Only sponsoring brands should be tagged.
Content Modification
"The Company" or "Agency" reserves the right to modify any deliverables and/or republish and/or promote them across various media formats and channels without prior consent of the Influencer. This includes, but is not limited to, the right to run paid advertisements, boost posts, and promote the content on social media and other digital channels.
The Client/Agency retains these rights for the duration of the campaign and any period thereafter.

Script Approval
All scripts must be approved by the Agency before content production, editing or upload.
Reshoot Clause
Should the final content fail to receive approval, the Influencer is required to reshoot the necessary content at no additional charge.
Professional Standards
The Influencer must ensure the content is of high quality and has not been altered in any distorting manner.
Deliverables
- The Influencer must provide 1nos Reel, 4nos Stories for social media posting, and 5nos additional images directly to the Agency (these images do not need to be posted on influencers' handles).
- You/influencer agrees to provide the BTS images and clips for all the sponsored looks to the Agency.
- Influencers are to use ‘collab tags’ for ‘feed posts/reels’
Confidentiality
All confidential information, including financial details, invoice, estimates, terms and conditions, deliverables, etc. must be kept confidential and not disclosed to third parties.
Content Submission
Approved content should be uploaded to the Influencer's social media as co-branded content, using appropriate collaboration tags.
Content Timeliness
Final content must be submitted within 10 days after receiving the collaboration hamper.
Indemnification
The Influencer hereby agrees to indemnify and hold harmless the agency, its
directors, partners, proprietors, employees, and all affiliated individuals against any
claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs,
fees, and expenses (including attorneys' fees) that may arise out of or in connection
with the collaboration.
Communication
Any communications related to the agreement conducted through Email or WhatsApp are deemed official. Screenshots of these communications may be used for dispute resolution.
Contract Termination
The Agreement may be terminated, and any advance payments reclaimed, if the Influencer fails to meet the agreed terms or deliverables.
Governing Law
This Agreement is to be construed according to the laws of the Uttar Pradesh. You
agree to submit to the jurisdiction and venue of any court of competent
jurisdiction in Greater Noida, Uttar Pradesh without regard to conflict of law’s
provisions, for any claim arising out of this Agreement.
