Terms & Conditions eCommerce Retainer Agreement for

This is an Agreement between “You”(signed below) and ‘A PIXEL HOUSE’ (“Company”). Please read these Terms and Conditions carefully as your acceptance of which is agreed from the moment you sign or pay for the Website, Hosting or Support.
We have tried to keep these Terms and Conditions brief, easy to understand, and as straightforward as possible. If you have any questions however, please do not hesitate to contact us.
By using our eCommerce barter services, you agree to be bound by the Conditions.
1. Terminology:
- You, Your, the Client’ - for - As signed below
- We, Us (A Pixel House, and hereinafter referred to as ‘the Company’ or ‘APH’)
- eCommerce: An eCommerce platform created, hosted and maintained by ‘A Pixel House’ against barter system for the sale of desired product by "You" to their end customer.
- Customers: Your end customers
2. Scope E-commerce websites ready for selling the products
The purpose of this Agreement is to provide stylist with the opportunity to get an ecommerce platform website ready for the promotion of product as an influencer or multiproduct brand under one roof via ecommerce platform. This Agreement is to keep both parties, you and the company under an umbrella of rules to guide the partnership through.
3. Subscriptions, Payments and Contract Lengths:
eCommerce Service are designed free of cost in exchange for the deliverables as mentioned in the "delivereables" section nof contract.
The hosting for the website will be provided free of cost by the agency for duration of 8months. Post 8 month tenure, client is liable for the payment of hosting services thereafter
Domain names aka "www.yourname.com" will be purchased by the client.
The website will be live and running as long as the deliverables mentioned in the contract are upheld by the client.
Agency will be charging extra for upkeep of the website, uploading of products, etc. Though website maintenance fee is optional and on monthly basis for all our clients, we do not encourage monthly expense by client in a barter ecommerce system, thus, client can pay in "as and when required" condition for additional services.
4. Fee and charges
- An initial payment of Rs.5000 has to be provided by the Client as one time charge before the initiation of the project. This amount will be kept as committment (pledge) abd security deposit which will be returned to client once the ecommerce website has been completed, and deliverables provided by/to the client on timely manner. Once the initial payment is completed by the client, ‘APH’ will initiate creation an ecommerce website for the Client.
- Materials for creation of the website is to be provided by the client on timely manner (30 days) after transfer of the security deposit. If all the materials are not provided on timely manner, 50% of the security deposit will be taken by the agency as upkeep fee of the website and inflation of the market prices.
5. Background
- The eCommerce website (hereinafter referred to as “Portal/Website/eCommerce") is owned by ‘APH’ and operates as an online e-commerce marketplace for the display, advertising and sale of products by you or your clients to the end customer (“Customers”) and provides predetermined services to you and to your end Customers / users via Portal as your service provider.
- All the files, folders, templates/themes, modules/plugins/extensions, required to run an ecommerce platform used in this project are property of ‘APH’ only.
- After 30days of 8 months free tenure, if the hosting money is not paid by the client, the website will be considered useless to the client and will be deleted with all its material. The agency takes no guarantee of the material or the website in case of non-payment.
- Hosting is a 3rd party service. Plan of the same shall depend on the bandwidth use by the end visitors. APH will provide pre-determined basic shared hosting for ecommerce platforms from its pocket. In case the hosting is unable to handle huge amount of traffic on the website, the hostng plan will have to be updated by the client from their pocket.
6. Features and details

- 6c. What is not included in the package?
- Custom designed homepage will not be provided instead direct shop landing page will be given
- Anything / or any feature that is not mentioned in the aforementioned points is beyond the scope of project, thus chargeable
- Any page not mentioned above is considered as a new page, thus chargeable.
- Since regular maintenance charges are not payable, agency will not take part in hosting management, domain management, website management or any thing beyond creating of the website. In case of extra work like website maintenance or creation of a manual page, extra charges will be applicable.
- Features like wishlist, compare product, etc is not included by charged extra.
- Domain charges are extra and to be borne by the client
- Hosting of the website will be done by the agency for 8months after the launch of the website.
- Any extra feature or pages for the website are chargeable as well.
- Limited access to the backend of the website will be provided to the website. Client will be able to manage orders and add/delete/edit products.
- Any 3rd party agency, contractor, subcontractor, freelancer, or any kind of developer to modify, maintain, create, recreate, the website and its codes.
- Access to admin panel, cPanel, FTP, etc is completely prohibited.
- Management of orders, uploading of products will be given to client.
- Services like SEO (onpage & offpage), graphic designing, email marketing, etc are not part of the package.
7. What do both parties agree to?
- 7a. The Client agrees to: (Deliverables)
- Provide ‘the Company’, within a month, everything that is requested from ‘you’ to complete the Project including text, images, product listings and other information.
- Review the Company’s work, provide feedback, and signoff approval in a timely manner.
- Make every effort to adhere to all agreed deadlines.
- Adhere to the payment schedule laid out on in this policy.
- Provide 3 tile (one row) coverage in instagram with images and in description with tag informing that APH created the website
- Provide APH with a testimonial that agency can use on their page "as client testimonial".
- Not reveal the deal between agency and self to any 3rd party agency, client, etc.
- 7b. The Agency agrees to
- Carry out services in a professional and timely manner.
- Make every effort to adhere to any deadlines agreed between us and you.
- Make a reasonable number of revisions to the design, layout, colours etc, until you are satisfied with the design concept or such time as both parties feel an agreement is likely to be reached but no more than 2 major revisions. Additional revisions or design work outside the scope of the project will be charged separately
- Contact you before the end of the first 8 month period, to discuss the various options open to you for continuing website maintenance and support and/or hosting.
- Any material provided by the Client will be treated as the property of the Client and will not be made public without the consent or direct instruction of the client.
- Design of the website will not look similar to that of other websites we have created. We will always want to have each website have their own look and feel as part of identity
8. Additional Terms
Taxes will not be added to Rs.5000 initial payment but marked as reimbursement. Once the website is completed and live, delieries made by client, reimbursement will be reversed.
TDS cannot be deducted for the invoice that will be reversed.
Taxes will be added to invoices with extra features, new pages, or any other additional features by client
Images or logo designing are not part of website designing services but chargeable.
Search Engine Optimization, Social Media Optimization and Graphic Designing are not part of the project but chargeable.
Though we always try to give our clients an extra edge to their website design but there are certain design parts of the ecommerce website like shop page, internal product page, checkout, cart page and similar ecommerce design elements are standardized/ fixed and cannot be changed.
‘A Pixel House’ through an agreement has been provided the use of a 3rd party website. The template may be used by ‘A pixel House’ to build a website for the Client. These templates are owned by the 3rd party provider and the Client agrees they may not put them on a diskette, CD, website or any other medium and offer them for redistribution or resale.
APH reserves the right to showcase the byline ‘Website Developed by A Pixel House’ on the client website as long as even one line of code or script is retained from our original project/ design or feature. Thus, the byline cannot be removed or modified by client or another Agency getting involved thereafter.
9. Liability
The company will not be held liable for any missed launch date or deadline, if the Client has been late in supplying materials, or has not approved or signed off work on¬time, at any stage.
10. Changes to these Terms and Conditions
A Pixel House reserves the right to add, delete, or modify any provision of these Terms and Conditions at any time without notice. Though we will inform/update you in case of modification of the policy, failure to receive notification of a change does not make those changes invalid.
