Terms & Conditions eCommerce Retainer Agreement for

This is an Agreement between (“You”) and ‘A PIXEL HOUSE’ (“Company”). Please read these Terms and Conditions carefully as your acceptance of which is agreed from the moment you sign or pay for the Website, Hosting or Support.
We have tried to keep these Terms and Conditions brief, easy to understand, and as straightforward as possible. If you have any questions however, please do not hesitate to contact us.
By using our eCommerce retainer services, you agree to be bound by the Conditions.
1. Terminology:
- You, Your, the Client’ -
- We, Us (A Pixel House, and hereinafter referred to as ‘the Company’ or ‘APH’)
- eCommerce A retainer based eCommerce platform created, hosted and maintained by ‘A Pixel House’ against retainer amount for the sale of desired product by ‘’ to their end customer.
- Customers – Your end customers
2. Scope
The purpose of this Agreement is to provide vendors with the opportunity to get an ecommerce platform website ready for the sale of their product under the retainer membership plan. This Agreement is to keep both parties, you and the company under an umbrella of rules to guide the partnership through.
3. Subscriptions, Payments and Contract Lengths:
eCommerce Service are billed on a subscription basis ("Subscription(s)").
You will be billed in advance on a recurring and periodic basis ("Billing Cycle").
Billing cycles are set on a monthly basis.
The website will be live and running as long as the subscription amount is being paid on time.
There is no limit/end/end-date/deadline/completion date or any total payable amount for the subscription system. As long as the Client is paying on monthly basis, the ecommerce website will remain live and running.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or ‘APH’ cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting ‘APH’ customer support team. However, both the parties must be notified a month in advance in writing in case of termination of Subscription.
A valid payment method, including credit card, debit card, netbanking, Gpay or PayTM, is required to process the payment for your Subscription. You shall provide ‘APH’ with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize ‘APH’ to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, ‘APH’ will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice
In case you want to resume the services after non-payment of 30days, all previous dues have to be cleared.
4. Fee Changes
- An initial payment of Rs.14000 has to be provided by the Client as one time charge before the initiation of the project. Once the initial payment is completed by the client, ‘APH’ will create an ecommerce website for the Client.
- The subscription fees includes the retainer fee of the ecommerce website along with the maintenance of corporate website created.
- One month subscription (retainer) shall be provided for free of charge after the website launch
- Agreed Subscription amount of Rs.3,800 will initiate after one month of the launch of website. Taxes in addition as per actual shall have to borne by the client.
- Though ‘APH’ understands and values commitment, there can be certain unavoidable circumstances where the subscription fees needs to be modified. In such case, we will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
- The client shall have to pledge for ecommerce subscription of minimum 12 months duration. Any early cancellation of your standing order during the first 12 months will be deemed a breach in contract. If you cancel before the end of your 8-month term commitment, you will be charged a service termination fee of Rs. 12,000 and an additional admin fee of Rs.2500 fee (The admin fee covers time taken to discover the cancellation, generating an invoice, posting, etc.)
5. Background
- The eCommerce website (hereinafter referred to as “Portal/Website/Retainer Website/Retainer eCommerce") is owned by ‘APH’ and operates as an online e-commerce marketplace for the display, advertising and sale of products by you to the end customer (“Customers”) and provides predetermined services to you and to your end Customers / users via Portal on behalf of ‘’ as your service provider.
- All the files, folders, templates/themes, modules/plugins/extensions, required to run an ecommerce platform used in this project are property of ‘APH’ only.
- After 45days of termination of subscription, the website will be deleted with all its material. The company takes no guarantee of the material or the website in case of non-payment.
- Hosting is a 3rd party service. Plan of the same shall depend on the bandwidth use by the end visitors.
6. Features and details

- Adding a tab of ecommerce platform with existing website

- Shop Page with all products
- Detailed product page
- Checkout
- Cart Page
- Account Page
- Search, 404, Archive
- Login Registration
- 6c. What is not included in the package?
- Anything that is not mentioned in the aforementioned points is beyond the scope of project, thus chargeable
- Any page not mentioned above is considered as a new page, thus chargeable.
- Monthly upload is limited to 20 products max.
- Hosting and domain charges are extra.
- Any extra feature or pages for the corporate website are chargeable as well.
- Access to admin panel, cPanel, FTP, etc is completely prohibited.
- Services like SEO (onpage & offpage), graphic designing, email marketing, etc are not part of the package.
7. What do both parties agree to?
- 7a. The Client agrees to:
- Provide ‘the Company’, within a month, everything that is requested from ‘you’ to complete the Project including text, images, product listings and other information.
- Review the Company’s work, provide feedback, and signoff approval in a timely manner.
- Make every effort to adhere to all agreed deadlines.
- Adhere to the payment schedule laid out on in this policy.
- Provide a minimum of one months’ notice in writing, or by email should you wish to cancel any contract.
- 7b. The Company agrees to
- Carry out services in a professional and timely manner.
- Make every effort to adhere to any deadlines agreed between us and you.
- Make a reasonable number of revisions to the design, layout, colours etc, until you are satisfied with the design concept or such time as both parties feel an agreement is likely to be reached but no more than 2 major revisions. Additional revisions or design work outside the scope of the project will be charged separately
- Maintain up to date skills and knowledge through regular training and research.
- Contact you before the end of the first 12 month period, to discuss the various options open to you for continuing website maintenance and support and/or hosting.
- Any material provided by the Client will be treated as the property of the Client and will not be made public without the consent or direct instruction of the client.
8. Additional Terms
Taxes to be added in final billing.
Images are not part of website designing services but chargeable.
Search Engine Optimization, Social Media Optimization and Graphic Designing are not part of the project but chargeable.
Though we always try to give our clients an extra edge to their website design but there are certain design parts of the ecommerce website like shop page, internal product page, checkout, cart page and similar ecommerce design elements are standardized/ fixed and cannot be changed.
'A Pixel House’ through an agreement has been provided the use of a 3rd party website template. The template may be used by ‘A pixel House’ to build a website for the Client. These templates are owned by the 3rd party provider and the Client agrees they may not put them on a diskette, CD, website or any other medium and offer them for redistribution or resale.
9. Liability
The company will not be held liable for any missed launch date or deadline, if the Client has been late in supplying materials, or has not approved or signed off work on¬time, at any stage.
10. Changes to these Terms and Conditions
A Pixel House reserves the right to add, delete, or modify any provision of these Terms and Conditions at any time without notice. Though we will inform/update you in case of modification of the policy, failure to receive notification of a change does not make those changes invalid.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of West Bengal. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
The undersigned agrees to the terms of this agreement on behalf of his or her organization or business. On behalf of the Client (- authorized signatory):
